Acceptable Use Policy

This Acceptable Use Policy ("AUP") is a standalone agreement between you and Long-Term Mindset LLC governing your conduct while using Stock Simplifier. It supplements and is incorporated by reference into the Terms of Service. In the event of any conflict, the Terms of Service controls.

By using the Service, you agree to this AUP in full. Violation may result in immediate suspension or termination of your account without notice or refund, and may expose you to civil and criminal legal liability.

Note: Each section begins with a Plain English summary for convenience only. The legal text controls.

1 Quick Reference: What Is and Is Not Permitted

2 Permitted Uses

Personal research, learning, note-taking, and social sharing (with credit) are all fine. We actively encourage you to share what you find — just credit Stock Simplifier and note it's AI-generated.

Subject to this AUP and the Terms of Service, you are permitted to:

  • Use the Service for personal, non-commercial stock and financial research;
  • Read, save, copy, print, and screenshot AI Output for your own private personal reference and research notes, provided you do not share those materials externally without the credit and disclosure required by Section 4.2;
  • Use AI Output as a starting point for further independent research and due diligence;
  • Share AI Output on social media, investment forums, blog posts, or other public channels, provided you credit Stock Simplifier and include the short disclosure in Section 4.2;
  • Discuss AI Output privately with your own licensed financial advisor, with disclosure that it is AI-generated and has not been independently verified;
  • Submit feedback, bug reports, and feature suggestions to the Company; and
  • Use the Service through any officially supported interface during your active subscription.

3 Prohibited Uses

Six categories of prohibited conduct. Read all of them. Section 3.2 covers automated scraping with a strict 2-query-per-minute hard cap. Section 3.4 explicitly covers copying our UI and wizard design.

3.1 Financial and Investment Prohibitions

PROHIBITED: You may not use the Service or any AI Output in connection with any of the following:

  • Securities fraud, market manipulation, pump-and-dump schemes, or any coordinated effort to artificially influence the price of any security;
  • Insider trading or trading on material non-public information;
  • Churning, front-running, or any other trading practice prohibited under applicable securities law;
  • Creating or distributing investment newsletters or research reports for third-party consumption based on AI Output, without disclosing that the content is AI-generated and unverified; or
  • Providing investment advice to third parties using AI Output as the basis, without being a licensed investment advisor.

3.2 Automated Access and Query Rate Prohibitions

STRICTLY PROHIBITED: The following are prohibited without exception and will result in immediate account termination.

Hard rate limit: 2 queries per minute maximum, for all users — human or automated.

In addition to the rate limit, the following are independently prohibited:

  • Using any automated script, bot, crawler, spider, browser automation tool, API wrapper, or any other programmatic method to submit queries without direct, real-time human initiation of each individual query;
  • Building, deploying, or operating any system that submits queries in a batched, scheduled, or queued manner;
  • Accessing the Service through any interface other than the officially supported web, mobile, or authorized API interface;
  • Using headless browsers, Selenium, Playwright, Puppeteer, or equivalent tools;
  • Attempting to circumvent, bypass, or defeat any rate-limiting, CAPTCHA, or access-throttling mechanism;
  • Aggregating, caching, or storing AI Outputs in a database for the purpose of serving them to other users or systems; or
  • Reverse engineering the Service's request structure, API endpoints, authentication tokens, or session handling.
Consequences of scraping violations are escalated. A first confirmed automated access violation will result in immediate account suspension. A second confirmed violation will result in permanent account termination without appeal, referral to applicable law enforcement, and pursuit of civil remedies including injunctive relief and damages.

3.3 AI Manipulation Prohibitions

PROHIBITED: You may not:

  • Attempt to "jailbreak," prompt-inject, or otherwise manipulate the AI system to produce outputs outside the Service's intended purpose;
  • Craft inputs designed to make the AI produce fabricated financial data, false buy/sell signals, or misleading company information;
  • Systematically probe the AI for confidential system prompts, model architecture details, or proprietary configurations; or
  • Use AI Output in any way designed to deceive another person into believing it is human-authored analysis.

3.4 Commercial, Competitive, and UI/Design Prohibitions

PROHIBITED: You may not:

  • Copy, clone, replicate, imitate, or substantially reproduce the Stock Simplifier user interface, visual design, wizard structure, workflow sequence, output format, screen layout, or any distinctive element of the Service's presentation, in any product, service, or tool;
  • Use the look, feel, flow, or structure of the Service as a template or reference design for any competing or complementary product;
  • Sell, license, sublicense, resell, or otherwise commercialize access to the Service or any AI Output;
  • Use the Service, AI Output, or any element of the Service's design or workflow to build, train, benchmark, or improve any competing product, service, or AI model;
  • Use AI Output as training data for any machine learning model without the Company's express written consent;
  • Redistribute AI Output to third parties as a product, data feed, newsletter, or commercial service; or
  • White-label or repackage the Service, its outputs, or its design under any other brand without written authorization.

For clarity: the prohibition on copying the UI and wizard design applies even if the underlying AI model, data source, or subject matter is different. What is protected is the specific presentation, flow, and design of the Stock Simplifier experience.

3.5 Account, Identity, and Age Prohibitions

PROHIBITED: You may not:

  • Share your account credentials, login, or session with any other person for any reason;
  • Allow any person under the age of 18 to use your account;
  • Create multiple accounts to circumvent free tier limits, pricing tiers, or any other restriction;
  • Create an account on behalf of another person without their knowledge and consent;
  • Impersonate any person, entity, or organization; or
  • Provide false registration information, including false age verification.

3.6 Legal and Regulatory Prohibitions

PROHIBITED: You may not:

  • Use the Service in violation of any applicable local, state, federal, or international law or regulation;
  • Use the Service from any jurisdiction subject to U.S. export controls or OFAC sanctions;
  • Use the Service to violate the privacy, intellectual property, or other legal rights of any third party; or
  • Use the Service to harass, stalk, threaten, or harm any individual or organization.

4 Responsible Use Requirements

These are affirmative things you must do. Social media sharing is simple: just credit Stock Simplifier and note it's AI-generated. For professional contexts, a longer formal disclosure is required.

4.1 Independent Verification

You must independently verify any AI Output before relying on it for any financial decision. AI Output is a research starting point, not a conclusion. AI Hallucinations — where the AI confidently generates false or fabricated information — are an inherent and disclosed risk of this Service. Treating AI Output as ground truth without verification is a misuse of the Service.

4.2 Sharing AI Output — Social Media and Public Channels

PERMITTED WITH CREDIT: We encourage sharing. You may share AI Output on social media, investment forums, newsletters, blog posts, screenshots, or any other public channel. When you do, you must:

  • Credit Stock Simplifier by name (e.g., tag @StockSimplifier, mention Stock Simplifier, or include the name in the post); and
  • Include a short statement that the content is AI-generated and does not constitute investment advice.

The following example language satisfies both requirements and may be used or adapted:

"Generated by Stock Simplifier (AI research tool) — not investment advice."

This is the only disclosure required for personal social media sharing. You do not need to use the longer formal disclaimer. The key requirement is that anyone who sees the content can immediately identify that it came from Stock Simplifier and is AI-generated.

4.3 Sharing AI Output — Professional and Regulated Contexts

REQUIRED — FORMAL DISCLOSURE: If you are a Regulated User sharing AI Output in any professional context — including client-facing documents, research reports, compliance submissions, or any communication directed at a third party in connection with your licensed or regulated activities — you must include the following disclosure prominently:

"Portions of this material were generated using Stock Simplifier, an AI-powered research tool operated by Long-Term Mindset LLC. AI-generated content is subject to inherent limitations, including the possibility of factual errors, omissions, or AI hallucinations. This material has not been independently verified and does not constitute a recommendation, suitability analysis, or regulated research report. Recipients should not rely on this material as the basis for any investment decision without conducting their own independent due diligence."

4.4 AI Output in Legal and Regulatory Filings

If you include AI Output in any legal filing, regulatory submission, arbitration proceeding, or government inquiry, you must include a clear statement disclosing: (a) that the content was generated by an AI tool; (b) the name of the tool (Stock Simplifier); and (c) that the content has not been independently verified for accuracy.

4.5 Data Currency Awareness

You acknowledge that all financial data in the Service is subject to data latency and may not reflect the most current market information. You must not represent AI Output as containing real-time data unless you have independently verified this.

4.6 No Misrepresentation

You must not represent AI Output as the product of human analysis, independent research, or licensed financial advice in any context.

5 Regulated User Obligations

If you hold a financial license or work in a regulated capacity, you have additional obligations on top of everything else in this AUP.

If you are a Regulated User (as defined in the Terms of Service), you must:

  • Comply with all applicable laws, regulations, and professional standards of your licensing body (including FINRA, SEC, state securities regulators, or equivalent);
  • Treat AI Output as unverified, preliminary research only, and conduct all required independent due diligence;
  • Include the professional disclosure language in Section 4.3 in any client-facing document or communication that incorporates AI Output;
  • Not represent AI Output as constituting an independent research report, suitability analysis, or compliance-reviewed recommendation;
  • Maintain records of your use of AI Output in connection with client services as required by your applicable regulatory obligations; and
  • Include the legal filing disclosure described in Section 4.4 in any regulatory submission, arbitration filing, or legal proceeding that incorporates AI Output.

The Company makes no representation that AI Output satisfies any regulatory standard applicable to Regulated Users.

6 Intellectual Property and Design Protection

This section goes deeper on what we own and what you cannot copy. The UI, the wizard flow, the output design, the prompts — all of it is ours. Copying any of it, even for a non-competing product, is a violation.

Long-Term Mindset LLC owns all intellectual property rights in and to Stock Simplifier, including without limitation:

  • The software, source code, and underlying architecture of the Service;
  • All AI prompt designs, system prompt configurations, and prompt engineering techniques;
  • The visual design, user interface layout, color scheme, typography, iconography, and aesthetic;
  • The wizard structure, workflow sequence, step-by-step research flow, and user experience design;
  • The output format, report structure, and presentation style of AI Output as delivered through the Service;
  • All branding, trademarks, trade dress, and product names; and
  • Any proprietary methods, algorithms, or data transformation logic used to process or present Fiscal.ai Data or AI Output.

The prohibition on copying the UI and wizard design in Section 3.4 is broad and intentional. It applies regardless of whether you use different underlying technology, different data, or serve a different market. The test is not technical identity — it is whether the look, feel, flow, or structure of your product was derived from or inspired by Stock Simplifier to a degree that would be recognizable to a reasonable observer.

7 Good-Faith Error Provision

Honest, isolated mistakes may get a warning and a chance to fix things. Intentional violations, repeat violations, and anything involving illegal activity or scraping do not qualify.

In cases where a violation appears to be an isolated, good-faith error with no material harm, we may, at our sole discretion, issue a written warning and provide a reasonable opportunity to cure the violation before taking further enforcement action.

This good-faith provision does not apply to:

  • Any violation involving illegal activity, securities fraud, or market manipulation;
  • Any automated access violation under Section 3.2;
  • Any violation involving AI manipulation, jailbreaking, or prompt injection;
  • Any violation involving UI/design copying or competitive use of the Service under Section 3.4;
  • Repeated violations of any provision, regardless of claimed intent; or
  • Any violation that caused or risked material harm to any person or the Company.

This provision is a discretionary policy, not a contractual obligation, and creates no right to a cure period.

8 Enforcement

What happens when someone violates this AUP, how long investigations take, and how to report a violation you witness. We protect the identity of reporters.

8.1 Monitoring

We reserve the right, but do not assume the obligation, to monitor use of the Service for compliance with this AUP using automated tools, usage analytics, rate monitoring, and user reports.

8.2 Consequences of Violation

Depending on the nature and severity of the violation, we may take any one or more of the following actions:

  • Issue a written warning (see Section 7 for good-faith error handling);
  • Temporarily suspend your access pending investigation;
  • Permanently terminate your account without notice or refund;
  • Report your conduct to applicable law enforcement or regulatory authorities;
  • Seek injunctive relief or other equitable remedies; or
  • Pursue civil or criminal legal action for damages.

8.3 Investigation Timeline

We will endeavor to acknowledge receipt of a violation report within 5 business days. Temporary suspensions imposed during an active investigation will not exceed 30 days unless extended in writing. At the conclusion of an investigation, we will notify the affected account of the outcome.

8.4 No Obligation to Act

Our failure to act on a violation does not constitute a waiver of our right to act on that violation or any future violation.

8.5 Reporting Violations

If you become aware of any use of the Service that violates this AUP, please report it to brian@longtermmindset.co with the subject line "AUP Violation Report."

Reporter confidentiality: We will make reasonable efforts to keep your identity confidential. We will not disclose your identity to the subject of the report without your consent, except where required by law. Submitting a report in good faith will not result in any adverse action against you.

9 Updates to This AUP

This AUP versions independently of the Terms of Service. Material changes get 14 days email notice. Continued use means acceptance.

We reserve the right to modify this AUP at any time. This AUP is versioned independently of the Terms of Service. For Material Changes (as defined in the Terms of Service), we will notify you by email at least 14 days before the changes take effect. Non-material changes may take effect immediately upon posting.

10 Relationship to Terms of Service

This AUP works alongside the Terms of Service and automatically inherits TOS updates. When the two conflict, the Terms of Service wins.

This AUP is incorporated by reference into the Stock Simplifier Terms of Service and should be read together with it. All definitions, liability limitations, disclaimers, arbitration provisions, and governing law provisions in the then-current version of the Terms of Service apply equally to this AUP.

Your acceptance of the Terms of Service at account creation constitutes simultaneous acceptance of this AUP.
